Terms of Service

Last updated: October 13, 2026

1. Agreement to these terms

These Terms of Service ("Terms") form an agreement between you ("Client," "you") and Core Pulse Digital LLC, a limited liability company organized under the laws of Wyoming and doing business as Kick Off My Site ("we," "us," "our"). They govern your use of kickoffmysite.com (the "Site") and any website design, development, hosting, and related services you purchase from us. Throughout these Terms "the Site" means kickoffmysite.com, our own website; the website we build for you is always "your site."

By browsing the Site, submitting the contact form, or accepting a quote, you agree to these Terms. If you do not agree, please do not use the Site or our services.

Agreeing to these Terms is not the same as buying anything. Most people arrive here by submitting the contact form to ask for the free mockup described in Section 3. Doing that accepts these Terms as they apply to your inquiry and to that mockup, but it does not order a website, does not sign you up to a plan, does not authorize any charge, and does not commit you to anything. Nothing is due unless and until you accept a written quote under Section 4.

If you accept these Terms on behalf of a company, you represent that you have authority to bind that company, and "Client" refers to that company.

2. Services we provide

We design, build, launch, and host a one-page business website for your company. Every website we deliver includes the same scope, whichever payment plan you choose:

  • A one-page website in clean, hand-written HTML, built mobile-first.
  • Google reviews integration and an embedded Google Map.
  • A contact form and a tap-to-call button.
  • On-page SEO: keywords, meta tags, and LocalBusiness schema.
  • Content edits, on the terms set out in Section 9.
  • Hosting on Amazon Web Services, including an SSL certificate, backups, and uptime monitoring.
  • Setting up your domain on your own registrar account, as described below.

The Monthly and Buyout plans in Section 4 differ only in how and when you pay. They do not differ in what you receive, and there is no faster or slower tier. A Custom project differs in scope, and what it includes is set out in its own written quote.

After the first 12 months, the ongoing server service is $29 per month or $299 per year. That service keeps your site hosted on our infrastructure with SSL, backups, and monitoring, and it keeps the repair commitment in Section 11 and the included content edits in Section 9 running on the same terms you had during your plan. It is billed in advance and renews until canceled. It is a convenience, not a condition: as Section 6 explains, ownership of your site is yours after 12 months whether or not you keep paying us anything.

Domain. You hold the domain on your own registrar account and the registrar bills you directly — typically $10 to $15 a year for a .com, more for a premium name. We do the work. Once you have opened the account, we check the name is available, register it in your name, configure the DNS, and switch on auto-renew so renewal happens without you having to remember it. You never have to touch a DNS record. One thing we cannot do from our side: auto-renew charges the card on your own registrar account, so keeping that card valid and answering the registrar's contact-verification emails stays with you. If either lapses, it is the registrar, not us, that decides what happens to the name. If you already own a domain, we connect it instead and there is nothing to register.

You own your domain. It is registered in your name on your own registrar account, and it is billed to you by that registrar. It never sits with us, so there is nothing for us to unlock, release, or transfer if you leave — you keep the domain and simply stop paying us. Renewal is on your card with auto-renew switched on, which we set up when we register it.

Enquiries your site collects. Messages sent through the contact form on your site are yours. We handle them only to pass them to you and to keep the form working, we put them to no use of our own, and we do not keep them longer than that requires. The people filling that form in are your customers, not ours: the privacy notice your site shows them, and any consent your trade requires, are yours to decide, and we publish what you give us. Our own Privacy Policy covers visitors to the Site — it does not cover visitors to yours.

The exact deliverables for your project are the ones listed above and confirmed in your written quote. Anything not listed there is out of scope until we agree otherwise in writing.

3. Your free mockup, before you pay anything

What it is. Before you pay anything, and before you commit to anything, we design a free mockup of your own homepage. It is built around your business — your trade, your services, your town, and the photos and details you send us. It is a real first draft of your page, not one of our existing templates with your business name dropped into it. What you are looking at is what your page would actually look like.

What you get, and when. Tell us about your business through the contact form or by email, and within one business day of receiving your inquiry we send you a few questions about your business and a firm written quote. Your free mockup follows once we know your trade, your services, and your town. That quote is the written quote described in Section 4 — it names the plan, the scope, the deliverables, the amounts, and the estimated timeline, and it is valid for 30 days.

It is free, and it obliges neither of us. The mockup costs you nothing and you owe us nothing for it, whether or not you go ahead. Take your time with it and show it to whoever you like. If it isn't right, say so and that is the end of it — no fee, no invoice, no explanation needed, and no further contact if you would rather we left it there. Equally, the mockup does not commit us: it is a proposal, not a booking. No build work starts, no hosting is set up, and no payment is due until you accept a written quote under Section 4. Turnaround under Section 8 is measured from the materials you send us after you accept that quote, not from the mockup.

Who owns the mockup. The mockup stays ours. We keep all rights in its design, layout, code, and any imagery of ours in it, and you do not receive a license to use it, publish it, or have anyone else build from it if you decide not to proceed with us. Anything you sent us for the mockup — your logo, your photos, your text, your business details — stays yours throughout, as Section 10 explains, and if you do not go ahead we will not publish your mockup or show it as our work with your business name or branding on it. If you do go ahead, the mockup becomes part of the site we build for you, and ownership of that site follows Section 6 like everything else in it.

4. Quotes and pricing

The scope of the website is identical under the two standard plans. Only the payment structure changes:

  • Monthly — nothing up front, then $129 per month. If you stay for all 12 months, that is $1,548 over the first 12 months.
  • Buyout — $1,099 on signing, and nothing further to pay during the first 12 months. That is $1,099 in total — about 29% less than Monthly, a difference of $449 over those 12 months.
  • Custom — for work beyond a single page, such as additional pages, third-party integrations, or analytics and conversion tracking. The price, the scope, the payment schedule, the point at which ownership transfers, and what happens if the project is canceled before it is finished are the ones stated in the written quote you approve, and that quote prevails over the figures above wherever the two differ. Everything else in these Terms applies unchanged.

What the monthly fee is. The monthly fee is not an installment towards buying a website. It is the price of having your website live, hosted, and maintained by us for that month — in the same way you pay for hosting, a phone line, or any other running service. You pay for the months you have a working site, and when you stop paying, that service stops. The transfer of ownership after 12 months, set out in Section 6, is a loyalty benefit that vests once you have completed 12 months of payments. It is not what the monthly payments are buying.

The 12-month figures are totals, not commitments. There is no fixed term and no minimum number of payments. Under the Monthly plan, if you cancel earlier you simply stop paying from the end of your current billing month, and the 12-month figure never becomes due.

The other side of that, stated plainly. If you cancel before month 12, your site goes offline, ownership does not transfer to you, and the amounts you have already paid are not refunded — they paid for the months your site was live and hosted. There is no option to pay a balance and keep the site. The one exception is the Buyout plan: that plan is paid in full on day one, so ownership transfers to a Buyout client even if they stop hosting with us before month 12. Section 7 sets all of this out in full.

After the first 12 months, the only ongoing charge is the server service: $29 per month, or $299 per year — about 14% less if paid annually.

Before any work begins, we send you a written quote by email confirming the plan you chose, the scope, the deliverables, the amounts, and the estimated timeline. This is the same quote described in Section 3, sent within one business day of your inquiry. That written quote, together with these Terms, is our agreement. Your approval by email is enough to accept it, and nothing is charged before you give it.

All prices are in U.S. dollars. A quote is valid for 30 days unless it says otherwise. Prices are flat for the agreed scope: we do not add setup fees, rush fees, or add-ons you did not approve. The only amounts that can ever be added on top are the ones listed plainly in Section 5, any tax we are required to collect, and any extra work you approve in writing under Section 9. Your domain is billed to you by your registrar and never appears on our invoice at all.

Tax. Prices are exclusive of sales, use, and similar transaction taxes. Where the law requires us to collect one, it appears as a separate line on your invoice and is added to the amounts above. Where it does not, nothing is added.

5. Payment terms

How each plan is billed:

  • Monthly — no up-front build cost. The first $129 is invoiced when your site goes live, not when you sign up: you pay nothing while we build. From then on, $129 is billed monthly in advance for each month of service, on the same day of the month as that first invoice, and renews automatically until you cancel — for the first 12 months only. Your twelfth payment is the last one at $129. The plan then ends by itself, ownership transfers to you under Section 6(b), and only the server service below carries on. You do not have to cancel anything to stop the $129, and we will not keep charging it.
  • Buyout — $1,099 is due on signing and pays for the plan in full. Nothing further is billed during the first 12 months. Nothing is physically signed: "on signing" means when you approve the quote by email under Section 4, which is the moment this agreement is made.
  • Custom — billed on the schedule set out in the written quote you approved.

What "goes live" means. Your site goes live on the day we point your domain at the finished site and it is publicly reachable there, and we email you that day to say so. That date is the one everything else runs from: your first Monthly invoice, the 12 months in Sections 6 and 7, the baseline the repair commitment in Section 11 measures against, and the 14-day window in that section. If within 5 business days of that email you tell us the delivered site is missing something your approved quote described, we put it right at no charge, and the launch date does not move.

What each payment is for. Each recurring payment — the $129 under the Monthly plan, and the $29 server fee under any plan — is consideration for a month of service: your website provided, hosted, and maintained by us and live for your customers. It is not a deposit, and it is not an installment held against a future purchase. Each is earned when that month is served. The Buyout $1,099 differs only in timing: it pays in advance for the build and for all twelve months of that first year at once.

From month 13 onward, under every plan, the server service is billed at $29 monthly in advance or $299 annually in advance, and renews until canceled.

Two things to know before you pay, in plain English:

  • Paying late costs extra. A balance more than 15 days past due may accrue a late fee of 1.5% per month, or the maximum permitted by law if that is lower. Pay on time and you will never see this charge.
  • Failed payments are passed on to you at cost. If a card is declined or a bank transfer bounces, the fee our processor charges us for that failed payment is added to your invoice. We do not mark it up. Disputing a charge with your bank costs you nothing here — we add no fee for a chargeback, whatever its outcome. If you think a charge is wrong, tell us first; we can usually fix it faster than your bank can.

Apart from those, any tax we are required to collect under Section 4, and any additional work you approve in writing under Section 9, there is nothing else to pay beyond the amounts for your plan.

We accept credit card and ACH bank transfer. Invoices are due on receipt unless stated otherwise. Payments already made for months of service already delivered are not refunded, and we do not prorate partial months.

If a payment is late or fails. We email you about it. If the balance is still unpaid 10 days after that email, we may pause work and pause hosting until it is settled, and we put your site back within one business day of the payment clearing. Two limits on that. We will not withhold files you already own — once ownership has transferred under Section 6(b) or Section 7(d) the files are yours, an unpaid invoice does not change that, and we chase the invoice instead. And a late payment does not by itself cancel your plan or reset the 12-month clock; if you want to end the plan, tell us under Section 7(a).

6. Ownership and the 12-month transfer

After 12 months, the site is yours. If you keep it hosted with us, the server is $29 per month or $299 per year. This section sets out exactly how that works.

(a) During the first 12 months. We own the website we build for you and we host it on our infrastructure. What you are paying for during that period is the service itself — your site built, live, hosted, and maintained, month by month — and for that period we grant you a non-exclusive license to use the site as your business website. Your own content remains yours throughout, as Section 10 explains.

(b) At 12 months, ownership transfers to you. Completing 12 months of payments under either standard plan — Monthly or Buyout — earns you ownership of the delivered website files, which transfers to you automatically, at no extra cost. There is nothing to buy, nothing to negotiate, and no final invoice for the transfer. This automatic transfer at 12 months is the default path and happens whether or not you ask for it. It is a benefit that vests on completing those 12 months, on top of the service you were paying for each month — not something the monthly payments were purchasing in installments. Under the Buyout plan the $1,099 pays the plan in full on day one, so no further payment is ever due for the transfer, and ownership passes to a Buyout client even if they stop hosting with us sooner, as Section 7(d) explains.

(c) Ownership is not conditional on hosting with us. After the transfer you may keep the site hosted with us for $29 per month or $299 per year, or you may take the files and host them anywhere you like. If you host elsewhere, you owe us nothing further and your ownership is unaffected. We will provide the files and, on request, reasonable help pointing your domain at your new host.

(d) What transfers, and what does not. What transfers to you: the delivered HTML, CSS, and JavaScript files of your site, the images used in it, and the content you supplied. What does not transfer: our reusable components, templates, design systems, and the underlying frameworks and code libraries used to build it — the tools we build with, not a stock layout your site was poured into, as Section 10 explains. You receive a perpetual, non-exclusive license to keep using those elements as part of your delivered site, but not to resell, redistribute, or license them separately. Third-party fonts, plugins, stock images, and software remain subject to their own licenses. We do that work so you do not have to. We put into your site only third-party assets whose licenses let you keep using them in it after ownership transfers, including on hosting that is not ours, and any license fee for them is part of your plan. Ask and we send you the list of what is in your site and under which license. If one of them ever cannot be carried across, we replace it at our cost with one that can.

7. Canceling before 12 months

(a) No fixed term. There is no long-term contract, no minimum number of payments, and no cancellation penalty. You may cancel at any time by emailing contact@kickoffmysite.com. Cancellation takes effect at the end of the billing month you have already paid for, and we do not prorate partial months. Your billing month is not the calendar month. It runs from the day of the month your site went live — the day of your first invoice — to the day before that date in the following month. If your site went live on the 18th and you cancel on the 2nd, your site stays up until the 17th. Under the Buyout plan you have paid for all twelve months up front, so Section 7(d) says what happens if you leave early.

(b) If you cancel before month 12. We want you to know this before you sign, not after. Hosting stops at the end of the month you have paid for, your site is taken offline, and ownership of the site files does not transfer to you. The amounts you have already paid are not refunded, in whole or in part: they were the price of the months your site was live, hosted, and maintained, and you received those months. There is no option to pay a balance and keep the site, and no path to the files. You owe nothing further beyond amounts already properly due, and nothing becomes due because you left early. One exception, for Buyout clients: if you are on the Buyout plan you have already paid the $1,099 in full, so ownership transfers to you even if you stop hosting with us before month 12 — see Section 7(d) below.

Two things that rule does not do. It does not apply where we never delivered you a working site at all — if you paid and have nothing live, we refund what you paid for the work we did not deliver. And it does not apply where you end this agreement because we are in material breach and have not cured it under Section 7(f) — there you owe nothing further and we refund the unused part of anything paid in advance. The no-refund rule is there because each payment bought the month it covered. It is not there to let us keep money for work we did not do.

(c) Custom projects follow their quote. Paragraphs (a) and (b) above apply to a Custom project except where the written quote you approved says otherwise. Where the two differ, the quote prevails.

(d) Buyout clients have paid in full, so they keep the files. The Buyout plan is paid in full on day one. If you are on that plan, you have paid the entire price of the website, so ownership of the delivered files transfers to you on the terms in Section 6(d) even if you stop hosting with us before month 12 — email us and we hand the files over. We will not keep both your $1,099 and your website. This is not a right to end a Monthly plan early by paying a balance: no such right exists under these Terms. It is simply the consequence of a plan that was paid in full up front.

And your hosting, if you leave early on Buyout. The $1,099 paid for the build and for twelve months of hosting, so leaving early does not forfeit the months you already bought. You may keep the site live with us to the end of month 12 at no further charge, or ask us to take it down and hand the files over straight away — your call, either way. The $1,099 is not refunded: the site was built and it is yours.

(e) Your domain, either way. Your domain is already yours. As described in Section 2, it sits on your own registrar account in your name, so nothing has to be released, unlocked, or transferred when you leave — you simply stop paying us and keep the domain. Renewal fees are, and always were, billed to you by the registrar. If the site did not transfer to you, we may delete site data and backups from our systems 30 days after cancellation.

(f) Termination for breach. Either of us may terminate for material breach that is not cured within 10 days of written notice. We may also suspend or terminate services for non-payment, abusive conduct, or use of our services for unlawful content.

(g) If we stop offering the service. We may decide to stop selling or running this service. If that happens while you are still inside your first 12 months, you get 60 days' written notice, we transfer the delivered site files to you at no charge on the terms in Section 6(d) whether or not you have reached month 12, and we refund the unused part of anything you have paid in advance. If it happens after month 12, the same 60 days' notice applies to the server service and we refund the unused part of it. Your domain is unaffected either way, because it was never ours.

8. Your responsibilities

A fast project depends on you as much as on us. You agree to:

  • Provide the content we need — business details, service descriptions, text, photos, logo files, and account access — in the formats we request.
  • Confirm that you own or have the rights to everything you send us, including images, logos, trademarks, and text, and that our use of it will not infringe anyone's rights.
  • Give clear, consolidated feedback within a reasonable time when we send proofs or drafts.
  • Keep the contact and billing information you give us accurate and current.

Turnaround is 3–5 business days, measured from the moment we have received complete materials — not from the day you inquire, not from the day you accept the quote, and not from the day you first pay. Complete materials means everything in the list above that your project needs: your business details, your service descriptions, your text or your approval of text we have drafted, your photos and logo files, and any account access we have asked for. The clock starts on the first business day on which we hold all of it, and it pauses again whenever we are waiting on content, feedback, or approvals from you. That timeline is the same for the Monthly and Buyout plans; a Custom project carries the timeline stated in its quote. It is a working estimate rather than a guaranteed delivery date. If a project stalls on your side for more than 60 days, we may close it out after written notice and treat any restart as new work. Closing out does not take your money. Anything you have already paid stays on your account as credit against that restart, or against any other work with us, for 12 months. If you paid in full under the Buyout plan and tell us you would rather not restart, we refund what you paid less the work already done, itemised.

9. Design revisions, content edits, and scope

Before launch, we revise the design until you are happy with it. While we are building your site, send us your feedback as many times as you need — colors, layout of the sections, imagery, wording, the order things appear in — and we keep revising the design at no extra charge, within the agreed one-page scope. If something you ask for changes that agreed scope — a second page, a new feature, or work beyond the one page we quoted — we tell you, quote it in writing, and only start once you approve.

Content edits are included after launch too, with no limit on how many you send. There is nothing to count and no per-edit fee. They stay included for as long as your plan or the ongoing server service in Section 2 is active and paid up to date — the same condition the repair commitment in Section 11 runs on. They stop when you stop paying us, and they do not follow a site you have moved to your own hosting.

Included at no extra charge — anything that is content on your existing page: text, prices, opening hours, photos, contact details, service area, staff names, and similar updates.

Details you ask us to publish. License numbers, insurance details, certifications, service areas and business hours are published exactly as you supply them. Keeping them current is yours to manage — tell us when something changes and we update it as an included edit.

Quoted separately: new sections, layout changes, new features, adding a second page, and redesigns. Size, position and color are design rather than content, however small the change looks — making something bigger, moving it above something else, or changing its color is quoted like any other layout change. A photo swapped for one of a similar shape drops straight in; a markedly different crop changes the layout around it and is quoted too. We confirm the price in writing before we begin, and work starts once you approve that quote.

How we ship edits. Send changes any time — we batch the requests we have received and ship them once a month.

10. Intellectual property

Your content stays yours. You keep all rights in the text, images, logos, and other materials you supply, and you grant us a license to use them for the purpose of building, launching, hosting, and supporting your site, and for the portfolio and marketing use described below — which you can switch off at any time, and which then ends.

Your site becomes yours under Section 6. Ownership of the delivered website files transfers to you once you have completed 12 months of payments, and — under the Buyout plan only, because it is paid in full up front — on the terms in Section 7(d) if you stop hosting with us sooner. Section 6(d) sets out precisely what transfers and what does not.

We keep our tools — and a tool is not your site. We retain all rights in the underlying building blocks we reuse from project to project: our frameworks, scripts, code libraries, design system, base templates, and reusable components, including any of them used in your project, both before and after ownership of your site transfers to you.

What that does and does not mean. Those building blocks are what we build with, not what we hand you. Every site we deliver is designed and written for your business — your services, your town, your photos, and your words — and we do not deliver an existing layout with your business name dropped into it. Retaining rights in our own tooling gives us no rights over your content, your business name, or the finished site you own, and it takes nothing away from the ownership and license you receive under Section 6. The only thing it prevents is reselling, redistributing, or licensing those underlying components on their own, separately from your site.

Portfolio rights. We may display your finished website, screenshots of it, and your business name in our portfolio, case studies, and marketing. Tell us in writing at any time and we will leave your project out or remove it. This right covers your finished website only — mockups for people who did not go ahead are covered by Section 3, and we do not put those in our portfolio with your business name or branding on them.

11. Warranties and disclaimers

We warrant that we will perform our services in a professional and workmanlike manner.

If something we built breaks, we fix it — for as long as you are with us. While your plan or the ongoing server service is active and paid up to date, if something we built or host stops working the way it worked at launch, tell us and we will fix it at no charge. That means, at minimum: your contact form no longer sending, your tap-to-call button or a link no longer working, the layout breaking on a browser or device where it worked at launch, images or your map or reviews block failing to load, your SSL certificate lapsing, or your site being down on our hosting. Report it by email to contact@kickoffmysite.com. There is no time limit on this while your plan or server service is active, no cap on the number of repairs, and no per-incident fee — repairs are part of what your plan or your server service pays for, and they are not the same thing as the monthly batch of content edits under Section 9, which are also included. This is a repair commitment, not a redesign: new sections, new features, and other changes to what was delivered are quoted under Section 9.

If you are no longer with us. Whether or not your plan or server service is still running, if something we built breaks on its own within 14 days of launch, tell us and we will fix it at no charge. That promise is about the code we wrote, so it follows the files: it holds even if you moved the site to your own hosting inside those 14 days. What it does not cover is the move itself — a server configured differently from ours, a change you or anyone else made to the files, or anything on infrastructure we do not control. After those 14 days, and once you host the site yourself, the site's operation is yours.

Beyond the express warranty and the repair commitment above — both of which stand — our services and the Site are provided "as is" and "as available."

Except for those two promises, we disclaim all other warranties of any kind, whether implied or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.

We do not guarantee results. SEO setup means we build your site with clean structure, metadata, and technical best practices so search engines can find and understand it. It is not a promise of any particular outcome. Specifically, we do not guarantee any search engine ranking or position, any amount of traffic, any number of leads, phone calls, or form submissions, any conversion rate, or any increase in sales or revenue. Search engines, ad platforms, and directories control their own algorithms and policies and can change them at any time without notice to us.

We are not responsible for outages, data loss, or defects caused by third-party services, hosting or network providers, domain registrars, plugins, or by changes made to the site by you or anyone else after delivery. That is a limit on our liability, not an excuse to leave you offline: while your plan or server service is active, report it anyway and we will investigate, tell you plainly what has happened, and do what we reasonably can to get your site back up — at no charge — even when the cause sits with a provider we do not control.

12. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost data, or loss of goodwill, even if advised that such damages were possible.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or our services — whether in contract, tort, warranty, or any other theory — will not exceed the total amount you actually paid us in the 12 months immediately preceding the event giving rise to the claim.

Some states do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you. Nothing here limits liability that cannot be limited under applicable law.

13. Indemnification

This section applies to clients. It starts when you accept a quote under Section 4. If you asked for a mockup and did not go ahead, none of it applies to you.

You agree to defend, indemnify, and hold harmless Core Pulse Digital LLC and its members, officers, employees, and contractors from any claim, demand, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to: the content, images, logos, or other materials you supply to us; your products, services, or business practices; the way you use or operate the delivered website once we have handed it over; your violation of these Terms; or your violation of any law or of any third party's rights, including intellectual property, privacy, and advertising or consumer protection rules.

It does not reach our own work. A claim that the code, components, templates, fonts, plugins, stock images, or other assets we chose and built into your site infringe someone's rights is ours to answer, not yours. You are not indemnifying us against our own choices.

And the same protection runs the other way. We will defend, indemnify, and hold you harmless from any claim that the elements we supplied and built into your site infringe a third party's intellectual property rights, as long as you tell us promptly and let us handle it. If such a claim is made, at our own cost we will either secure your right to keep using the element or replace it with one that does the same job.

Where you indemnify us, we will notify you of the claim promptly and give you reasonable cooperation in its defense at your expense, and we may participate with counsel of our own choosing at our own cost. Where we indemnify you, the same applies in reverse.

14. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules.

Talk to us first. If a dispute comes up, email contact@kickoffmysite.com with a description of the problem and what you would like as a resolution. Both parties agree to work in good faith toward an informal resolution for at least 30 days before starting any formal proceeding. Most issues are solved in a couple of emails.

If we cannot resolve it informally, the exclusive venue for any action will be the state or federal courts located in the State of Wyoming, and both parties consent to personal jurisdiction there. Each party is responsible for its own attorneys' fees unless a court orders otherwise. Any claim must be brought within one year after it arises, to the extent permitted by law.

15. Changes to these terms

We may update these Terms from time to time. The current version is always posted on this page with the "Last updated" date at the top. If you are an active client, a change that materially affects you does not bind you until we have emailed it to you and 30 days have passed. Quietly posting a new version here is not enough, and we will not rely on it. If you would rather not accept the change, cancel inside those 30 days: you owe nothing further and we refund the unused part of anything paid in advance. Changes apply to new quotes straight away, and to ongoing subscription and server service on that notice. They never change the scope or the amounts of a plan already confirmed in writing.

16. General

These Terms, together with your written quote and our Privacy Policy, are the entire agreement between us and replace any earlier discussions or proposals. If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our written consent; we may assign it in connection with a sale or reorganization of our business. We are independent contractors — nothing here creates a partnership, joint venture, or employment relationship. Neither party is liable for delays caused by events beyond its reasonable control.

Notices. Notice under these Terms is given by email: to you at the address you gave us, and to us at contact@kickoffmysite.com. Email is enough for every notice these Terms call for, including notice of breach, of cancellation, and of a change under Section 15. A notice counts as received on the next business day after it is sent, unless it bounces. Keeping your email address current is one of your responsibilities under Section 8.

What survives the end of this agreement. These keep running: any ownership that has already transferred to you under Section 6; the licenses in Sections 6(d) and 10; Section 10's rules on your content and our tools; the 14-day post-launch repair promise in Section 11; Sections 12, 13 and 14; and any amount properly due before the end. Everything else stops when the agreement does.
